Terms and Conditions

 

AIRCON FLEET MANAGEMENT

TERMS AND CONDITIONS OF SERVICE

Effective Date: August 30, 2012

These Terms and Conditions (“Terms”) govern all quotations, work orders, repairs, calibrations, proof loads, manufacturing, engineering services, AOG services, and any other work performed by Aircon Fleet Management (“AFM,” “Company,” “we,” “us”). Acceptance of any quotation, purchase order, or service constitutes full and unconditional acceptance of these Terms.

1. SCOPE OF SERVICES

AFM is a licensed, certified, and OEM-approved facility providing inspection, repair, overhaul, calibration, proof-load testing, recertification, manufacturing, welding, engineering, reverse engineering, and AOG support for aircraft maintenance tooling and Ground Support Equipment (GSE).
All services are performed in accordance with OEM specifications, FAA guidance, applicable industry standards, and internal AFM procedures.

2. REGULATORY & FAA COMPLIANCE

AFM performs work in accordance with applicable FAA regulations, manufacturer maintenance manuals, service bulletins, and engineering data where required.
AFM does not assume responsibility for operational misuse, improper storage, overloading, or use outside approved limitations before or after return to service.

3. AIRCRAFT ON GROUND (AOG) SERVICES

AOG services are provided on a best-effort basis only and are subject to technician availability, site conditions, customer cooperation, access to equipment, and safety considerations.

  • AOG response times are estimates, not guarantees
     
  • Travel, labor, overtime, consumables, and third-party services are billed separately
     
  • AFM is not liable for delays caused by weather, access restrictions, customer readiness, or parts availability
     

4. INTELLECTUAL PROPERTY & ENGINEERING RIGHTS

All engineering data, drawings, CNC programs, welding procedures, fixtures, tooling designs, calculations, measurements, reverse-engineered models, and documentation created or used by AFM remain the exclusive intellectual property of Aircon Fleet Management, unless explicitly transferred in writing.

  • No data may be copied, shared, reproduced, or reused without written authorization
     
  • Reverse-engineered components are provided solely for the intended customer use
     
  • AFM retains all proprietary rights regardless of customer payment status
     

5. CONFIDENTIALITY

All technical data, pricing, reports, procedures, photographs, and communications exchanged are strictly confidential.

  • Customers may not disclose AFM proprietary information to third parties
     
  • Confidentiality obligations survive termination of services
     
  • Breach of confidentiality may result in immediate termination and legal action
     

6. MANUFACTURING, WELDING & MODIFICATIONS

AFM manufactures, welds, and modifies components strictly in accordance with approved procedures.

  • Customer-requested deviations must be approved in writing
     
  • AFM is not responsible for failures caused by unauthorized alterations after delivery
     
  • Welding repairs are limited to approved base materials and procedures
     

7. CALIBRATION SERVICES

Calibration services are performed using traceable standards where applicable.

  • Calibration validity is limited to conditions at time of test
     
  • AFM is not responsible for drift, misuse, impact damage, or environmental exposure post-calibration
     
  • Customer is responsible for maintaining calibration intervals
     

8. PROOF LOAD & STRUCTURAL TESTING

Proof loads are conducted per OEM or engineering requirements.

  • Testing verifies performance at time of test only
     
  • AFM does not guarantee future performance beyond certified limits
     
  • Overloading, misuse, or unauthorized modifications void certification
     

9. CUSTOMER RESPONSIBILITIES

Customer warrants that all equipment:

  • Is legally owned or authorized for service
     
  • Has not been modified without disclosure
     
  • Is free from hazardous materials unless disclosed in writing
     

Customer is responsible for shipping, insurance, customs clearance, and removal upon completion.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • AFM’s total liability shall not exceed the amount paid for the specific service
     
  • AFM shall not be liable for loss of use, operational delays, lost revenue, or consequential damages
     
  • No implied warranties are provided beyond stated service documentation
     

11. FORCE MAJEURE

AFM shall not be liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to:

  • Acts of God
     
  • Weather
     
  • Government actions
     
  • Labor shortages
     
  • Supply chain disruptions
     
  • Transportation failures
     
  • Power outages or facility shutdowns
     

12. PAYMENT TERMS

  • Net terms as stated on invoice
     
  • Late payments may incur service suspension
     
  • Equipment may be held until full payment is received
     
  • Storage fees may apply after notification of completion
     

13. TERMINATION

AFM reserves the right to refuse or terminate service if:

  • Payment terms are violated
     
  • Equipment presents safety risks
     
  • Customer breaches confidentiality or IP terms
     

14. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Venue shall be exclusive to Florida courts.

15. ENTIRE AGREEMENT

These Terms constitute the entire agreement between AFM and the customer. No verbal statements or prior agreements shall modify these Terms unless executed in writing by an authorized AFM representative.
